Service availability, scope, and deliverables are subject to specific engagement agreements. We reserve the right to modify or discontinue services with appropriate notice to active clients.

Services are provided subject to Taiwan laws and regulations. Geographic restrictions may apply based on your location and applicable legal requirements.

4. User Responsibilities

4.1 Accurate Information

You agree to provide accurate, current, and complete information during consultation and throughout service delivery. You must promptly update any information that changes during our engagement.

4.2 Acceptable Use

For Strait Assessment services, no refunds are provided once the consultation session has occurred. For ongoing services, refunds may be prorated based on work completed.

7. Confidentiality

You agree to maintain confidentiality regarding our proprietary methodologies, assessment frameworks, and any confidential information we share during service delivery.

8. Disclaimers

8.1 Service Provision

Our services are provided "as is" without warranties of any kind, either express or implied. While we strive for excellence, we cannot provide absolute guarantees regarding specific outcomes or timelines.

8.2 Professional Advice

Our services constitute professional consulting guidance but do not constitute legal, accounting, or financial advice. You should consult appropriate licensed professionals for such advice specific to your circumstances.

8.3 Third-Party Actions

We are not responsible for actions or decisions of third parties including government agencies, financial institutions, or other parties involved in your investment passage. External factors may affect timelines and outcomes.

9. Limitation of Liability

To the maximum extent permitted by Taiwan law, Clement Straits shall not be liable for any indirect, incidental, special, consequential, or punitive damages arising from use of our services or website.

Our total liability for any claims arising from our services shall not exceed the fees paid by you for the specific service giving rise to the claim.

Nothing in these terms excludes or limits our liability for fraud, gross negligence, or matters where liability cannot be limited under Taiwan law.

10. Indemnification

You agree to indemnify, defend, and hold harmless Clement Straits, its employees, and consultants from any claims, damages, losses, or expenses (including reasonable legal fees) arising from your breach of these terms, misuse of services, or violation of applicable laws.

11. Termination

11.1 Termination by Either Party

Either party may terminate an engagement according to terms specified in the service agreement. Generally, written notice is required, with notice periods varying by service type.

11.2 Effect of Termination

Upon termination, you remain responsible for fees for services rendered through the termination date. We will provide documentation of work completed. Confidentiality obligations survive termination.

11.3 Termination for Cause

We may terminate services immediately if you breach these terms, engage in fraudulent activity, or if continuing services would violate applicable laws or professional standards.

12. Dispute Resolution

12.1 Governing Law

These terms are governed by the laws of Taiwan. Any disputes shall be subject to the exclusive jurisdiction of the courts of Taipei, Taiwan.
